In Encony Development Sdn Bhd v Robert Geoffrey Gooch, the Court of Appeal ruled that a statutory SPA under the Housing Development Regulations cannot be varied by a separate collateral agreement — meaning if a developer fails to honour a rebate promised in a side letter or credit note, enforcing that promise in court is a real uphill battle. The SPA price is what's legally binding; the rebate letter is comparatively fragile. This is exactly why getting the rebate confirmed in writing, ideally referenced within the official booking documentation rather than a casual message, matters more than it might seem.
The Rebate Actually Helps You If the Developer Is Late
Here's the upside: in the landmark PJD Regency Sdn Bhd v Tribunal Tuntutan Pembeli Rumah ruling, Malaysia's Federal Court held that Liquidated Ascertained Damages (LAD) for late handover must be calculated on the full gross SPA price, with any rebate completely disregarded — developers cannot argue you were "unjustly enriched" by the rebate to reduce what they owe you for delays. The LAD formula is Purchase Price × 10% × (Days Late ÷ 365), calculated on the higher gross figure. A similar ruling in Sri Damansara Sdn Bhd v Voon Kuan Chien confirmed a credit note is just a marketing mechanism and doesn't reduce the developer's late-delivery liability.
Compare Package Against the Actual Unit, Not Just the Number
A larger rebate on a weak unit — poor facing, an awkward stack, a floor level nobody wants — is still a weak unit. Compare the full package (nett price, car park allocation, maintenance estimate, and the rebate's expiry date) against layout and long-term demand together, and keep every promise — package message, booking form, official developer confirmation — in writing before submitting your loan application.

Can rebates change?
Yes. Packages can change when units sell, campaigns end or developer policies update — confirm the current offer again immediately before paying booking, not based on what you were told weeks earlier.
Should I choose the biggest rebate?
Not automatically. The best choice balances nett price, unit quality, layout, location and your buying purpose — remember the rebate letter itself is legally weaker than your SPA, so a modest rebate on a strong, well-documented package can be the safer choice.
Does the rebate reduce what the developer owes me if handover is late?
No — and this works in your favour. Malaysia's Federal Court has ruled that late-delivery compensation (LAD) is calculated on the full gross SPA price, with any rebate disregarded entirely, so a rebate does not reduce a developer's liability for delays.
